1.1 "Company" shall mean Sevark Multi Services Pvt Ltd, its affiliates, subsidiaries, officers, directors, employees, and authorized agents.
1.2 "User" / "Client" / "Organization" shall mean any individual, business entity, or organization registering for or using any subdomain provided by the Company.
1.3 "Subdomain" shall mean any domain name in the format [chosen-name].hrmspro.co.in or any similar structure provided by the Company.
1.4 "Service" / "Platform" shall mean the HRMSpro software-as-a-service platform and associated subdomain hosting services.
1.5 "Effective Date" shall mean the date of electronic acceptance of these Terms and Conditions by the User.
2.1 Exclusive Property Right: The User expressly acknowledges and agrees that ALL SUBDOMAINS, INCLUDING BUT NOT LIMITED TO [CHOSEN-NAME].HRMSPRO.CO.IN, ARE AND SHALL REMAIN THE SOLE AND EXCLUSIVE PROPERTY OF SEVARK MULTI SERVICES PVT LTD. The User has NO PROPRIETARY RIGHTS, OWNERSHIP INTEREST, OR EQUITY CLAIM in the subdomain.
2.2 Limited License Grant: The Company grants the User a non-exclusive, non-transferable, revocable, limited, and temporary license to use the subdomain solely for accessing the Service during the active subscription period. This license does not constitute a sale or transfer of any ownership rights.
2.3 No Tenure Rights: No length of usage, payment history, or custom domain configuration shall create any right, title, or interest in the subdomain. The User shall not acquire any adverse possession or prescriptive rights.
2.4 Subdomain as Service Feature: The subdomain is provided as a feature of the Service, not as a standalone product or property asset. The User acknowledges this distinction and agrees not to treat the subdomain as an asset on their financial statements or business valuations.
3.1 Right to Refuse, Revoke, or Restrict: Sevark Multi Services Pvt Ltd reserves the absolute, unilateral, and unconditional right to:
3.2 No Notice Required: The Company may exercise any of the above rights WITHOUT PRIOR NOTICE, EXPLANATION, OR COMPENSATION.
3.3 No Appeal Process: Decisions regarding subdomain availability, approval, restriction, or revocation are final and not subject to appeal or judicial review.
4.1 Acknowledgment of Cyber Risks: The User acknowledges and agrees that:
4.2 Limitation of Liability for Data Breaches: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
4.3 Data Encryption Disclosure: The Company employs AES-256-CBC encryption for sensitive data fields (including government IDs, bank account numbers, and personal identifiers). However, the User acknowledges that encryption reduces but does not eliminate security risks.
4.4 Backup & Recovery: The Company performs automated daily backups for disaster recovery purposes. However, the User agrees that:
5.1 Trial Period Data Deletion: Any data uploaded during the 14-day free trial period shall be permanently deleted within 10 days following trial expiry if a paid subscription is not purchased. The User CANNOT CLAIM any data recovery rights after this period.
5.2 Post-Termination Data: Upon termination of subscription for any reason:
5.3 Force Majeure: The Company shall not be liable for any data loss, service interruption, or failure to perform caused by circumstances beyond reasonable control including but not limited to: natural disasters, war, terrorism, riots, labor disputes, internet outages, power failures, equipment failures, or acts of God.
6.1 User Indemnity: The User agrees to INDEMNIFY, DEFEND, AND HOLD HARMLESS Sevark Multi Services Pvt Ltd, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
6.2 Company's Right to Control Defense: The Company reserves the right to assume the exclusive defense and control of any matter subject to indemnification by the User.
The User SHALL NOT use the subdomain for:
8.1 "AS IS" and "AS AVAILABLE": THE SUBDOMAIN SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES WHATSOEVER, EXPRESS OR IMPLIED.
8.2 No Guarantees: The Company does not warrant that:
9.1 No Consequential Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY:
9.2 Maximum Liability Cap: The Company's total liability arising from or related to subdomain usage shall not exceed the total fees paid by the User in the three (3) months preceding the claim, or ₹10,000 (Indian Rupees Ten Thousand Only), whichever is lower.
10.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of India.
10.2 Exclusive Jurisdiction: Any dispute arising from or relating to these Terms or subdomain usage shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.
10.3 No Class Actions: The User agrees to bring any claims solely in their individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
The User's electronic acceptance (including but not limited to clicking "Accept," "I Agree," or submitting the subdomain acceptance form) constitutes a LEGALLY BINDING AGREEMENT under the Indian Information Technology Act, 2000 and any amendments thereto. The digital timestamp, IP address recording, and cryptographic signature serve as legal proof of acceptance and shall be admissible as evidence in any court of law.
These Terms constitute the entire agreement between the User and Sevark Multi Services Pvt Ltd regarding subdomain usage and supersede all prior agreements, understandings, representations, or communications, whether written or oral.
Product of Sevark Multi Services Pvt. Ltd.
1.1 Configuration: The Company will configure the HRMSpro platform as per requirements and timelines mutually agreed upon between the Parties.
1.2 Third-Party Costs: Any third-party integrations (API fees), hardware (biometric devices), and software requirements will be borne by the Client.
1.3 Implementation Scope: Setup includes Integrations and training for up to 15% of the client’s company size. Training exceeding this may incur extra costs.
1.4 Payment Milestone: All one-time fees to be paid 100% on order.
2.1 Billing: 100% advance yearly payments required.
2.2 Payment Window: Payment within Ten (10) days of the generation of the invoice.
2.3 Support: Includes servicing, support, and training from account manager & call center during working hours.
2.4 Late Penalty: Interest on due amounts at a rate of 18% per annum.
2.5 Annual Escalation: Fees subject to 15% escalation year-on-year from the Effective Date.
2.6 Refunds: The fees paid is strictly non-refundable.
3.1 Implementation Levies: Costs may be levied if specialized implementation services are required.
3.2 Partner Costs: Integration costs related to partners shall be agreed upon between the partner and the Client.

5.2 User Responsibility: The User is solely responsible for maintaining the security of their login credentials, implementing two-factor authentication where available, and promptly reporting any suspected security incidents.
